It isn't.
It's a structural outcome - one you either designed for from the start, or didn't.

The gap between those two shows up at the term sheet, not before.

The operators who sell well do one thing differently: they research who buys companies in their category before making structural decisions about revenue, contracts, or distribution.

That single shift changes everything downstream…
What the deal looks like on paper.
How clean due diligence runs.
Whether both parties get to close.

Most founders get this backwards.
They build something good, then figure out the exit.
By the time they're in a process, the structural decisions that determine value: revenue mix, customer concentration, contract length - all are already locked in.

  Payroll cadence, tax treatment on asset vs share sales, vendor contract structure - these gaps don't surface until the worst possible moment.
  Living these mechanics first makes every subsequent transaction cheaper and faster to execute.

Here is how the mixed revenue problem plays out in practice.

You've built a business with a SaaS component and a services component.
Both are real.
Both are generating revenue.

A buyer who wants recurring revenue looks at your services book and sees operational overhead and client dependency they didn't ask for.

A buyer who wants expertise and client relationships looks at your SaaS metrics and sees complexity outside their model.

Both parts get discounted.
The deal either falls apart or prices below what either segment deserves on its own.

The fix is not complicated.
Pay attention to what each type of buyer pushes back on during early conversations.
That friction reveals the natural split.
Separate the streams - even informally before a formal process and each segment can attract the right acquirer at full value.

Two smaller, cleaner transactions almost always produce better total outcomes than one blended deal negotiated at a discount.

Use billable work to cover costs while building on the margins.
Let the client relationships from that work identify your first buyers.
Do not leave the day job until the business can pay you.
Raise when you know exactly what the capital will do and can measure whether it did it.

On the debt side: the repayment structure is doing something equity does not.

Monthly or quarterly payments force you to stay close to revenue reality.
There is no growth-metric abstraction.
The business either generates enough cash to service the debt or it does not.
That binary is clarifying in a way that a runway countdown rarely is. The discipline is installed by the instrument itself, not by willpower.

WHAT THIS LOOKS LIKE IN PRACTICE

Take a services business billing $800,000 a year.
The founder is involved in every sale, every delivery, and most operational decisions.
The books are maintained by a part-time bookkeeper who reconciles quarterly.

There are no documented processes… just institutional knowledge held by two or three people.

That business is not unsellable.
But it will transact at a lower multiple, take longer to close, and require the founder to stay involved post-sale longer than they want.
Every one of those outcomes traces back to the same root: the business was built to run, not to be handed off.

The fix is not complicated.
It is sequential.

Document the workflows.
Tighten the financials.
Build the pipeline so it triggers on behavior, not on relationships.
Remove the founder from the delivery path wherever possible.

None of those steps require outside capital or a large team.
They require consistency over time.

THE MECHANISM

Exit readiness is an operating standard, not a project.
When a buyer initiates diligence, they are looking for consistency between what you claim and what the records confirm.


Operators who have maintained clean financials, documented their processes, and run a formal management system see little gap between their internal understanding and what a quality of earnings review finds.

Operators who have not spend months scrambling, often reprice the deal in the process.

The same principle applies to AI adoption.
Agentic systems require defined steps, decision criteria, and handoff protocols as inputs.
Without documented processes… there is nothing to hand off.

The businesses that successfully deploy an AI-assisted workforce will not be the ones with the largest budgets.
They will be the ones with the clearest operating systems.

Pick one core workflow in your business… acquisition, onboarding, or delivery

and write down every step as if you were handing it to someone who has never seen your business before.

That document is the starting point for everything else.
